1. ABOUT US

These Terms and Conditions govern your use of our website and the provision of health and safety consultancy services by Guideline Safety Solutions (“we”, “us”, “our”), operating in the United Kingdom.

By using our website or engaging our services, you agree to these Terms. If you do not agree, please do not use our website or engage our services.

2. OUR SERVICES

Guideline Safety Solutions provides health and safety consultancy services including, but not limited to:

  • Health and safety audits and risk assessments
  • Policy and procedure development
  • Health and safety management system support
  • Training and advisory services
  • Compliance support and documentation

The specific scope of services for each engagement will be agreed in writing prior to commencement.

3. ENGAGEMENT AND CONTRACTS

3.1 A contract between Guideline Safety Solutions and a client is formed when we issue a written proposal or statement of work and you provide written acceptance (including acceptance by email).

3.2 Any quotation provided is valid for 30 days from the date of issue unless otherwise stated.

3.3 We reserve the right to decline any engagement at our discretion.

4. FEES AND PAYMENT

4.1 Our fees will be set out in the agreed proposal or statement of work.

4.2 Unless otherwise agreed in writing, invoices are due for payment within 30 days of the invoice date.

4.3 We reserve the right to charge interest on overdue invoices at the rate of 8% above the Bank of England base rateper annum, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

4.4 We may suspend services where payment is overdue and not resolved following reasonable notice.

5. CLIENT RESPONSIBILITIES

You agree to:

  • Provide accurate, complete, and timely information necessary for us to deliver our services
  • Ensure appropriate access to your premises, personnel, and documentation as reasonably required
  • Implement recommendations arising from our work within a reasonable timeframe
  • Notify us promptly of any changes that may affect the scope of our services

Failure to meet these responsibilities may affect our ability to deliver services and we shall not be liable for any resulting delays or deficiencies.

6. INTELLECTUAL PROPERTY

6.1 All reports, documents, templates, policies, and materials produced by us remain our intellectual property until full payment has been received.

6.2 Upon receipt of full payment, you are granted a non-exclusive licence to use the materials produced for your internal business purposes.

6.3 You may not resell, sub-licence, or distribute our materials to third parties without our prior written consent.

7. CONFIDENTIALITY

Both parties agree to keep confidential any sensitive or proprietary information disclosed during the engagement and not to disclose it to third parties without prior consent, except where required by law.

8. LIMITATION OF LIABILITY

8.1 We will use reasonable skill and care in providing our services. However, health and safety consultancy is advisory in nature. Responsibility for implementing recommendations and ensuring legal compliance rests with you as the client.

8.2 Our total liability to you in respect of any claim arising from or in connection with our services shall not exceed the total fees paid by you to us in the preceding 12 months.

8.3 We shall not be liable for indirect, consequential, or special losses, or loss of profit, revenue, or business opportunity.

8.4 Nothing in these Terms limits liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

9. TERMINATION

9.1 Either party may terminate an engagement by providing 30 days’ written notice unless a different notice period is agreed in the contract.

9.2 We may terminate with immediate effect if you breach a material term of these conditions and fail to remedy it within 14 days of written notice.

9.3 Upon termination, you remain liable for fees for all work completed up to the date of termination.

10. WEBSITE USE

10.1 You may use our website for lawful purposes only. You must not use it in any way that is unlawful, harmful, or disruptive.

10.2 While we take reasonable steps to ensure the accuracy of information on our website, we make no warranties that it is complete, current, or error-free.

10.3 We reserve the right to modify or withdraw the website or any content at any time without notice.

11. GOVERNING LAW

These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. CHANGES TO THESE TERMS

We may update these Terms from time to time. The current version will always be available at https://www.guidelinesafety.co.uk. Continued use of our services following any changes constitutes acceptance of the updated Terms.
